VI
ACTION WITHOUT FORMAL MEETING OF THE BOARD
Any action required to be taken at a meeting of the Board or by any Committee,
or any other action which may be taken at a meeting, may be taken without
a meeting if a consent in writing setting forth the action so taken shall
be signed by all the Trustees or all members of the Committee, as the case
may be, entitled to vote with respect to the subject matter thereof.
Also, any action required or permitted to be taken by the Board or by any
Committee thereof may be taken by participation in a meeting of the Board
or Committee by teleconference, videoconference, webconference or similar
electronic means, provided that all the Trustees attending must be able
to effectively participate in the meeting. For purposes of determining a
quorum and for meeting the attendance requirement in Article II, Section
10, providing written consent as to a consent meeting or attending electronically
as to an electronic meeting shall constitute presence in person at the meeting.
